DMCC Company setup Process:

  1. Decide what type of company you want

    • Limited liability company as a newly formed entity with single or multiple shareholders
    • Limited liability company as a wholly owned subsidiary of local or foreign company
    • Branch of local or foreign company

  2. Select the business activities as per your business plan

    Each company is issued a license depending on their business activity. While the license will be specific to the selected activities, a company can also apply for multiple licenses or for a general trading license
    • General Trading License - Its allows to import, export, distribute, consolidate, and store almost all types of products (except for few types of products).
    • Commercial/Trading License – Its allows to import, export, distribute, consolidate, and store products that are specified in the license.
    • Service License – Its allows to carry out service or consultancy activities that are specified in the license.

    You can also consider additional customized license structures like the Single Family Office option which helps in managing the wealth of a family.

    Additional customised licence structures:

    DMCC also offer other types of structures such as Single Family Office which caters to centralising the management of a family’s wealth and personal affairs, succession planning and holding shares in family businesses, assets, trusts and foundations Additionally, you can avail of an e-commerce license structure which enables you to set up an online platform or a digital marketplace which promotes third parties’ products and services and facilitates commercial transactions between buyers and sellers in return for a commission or remuneration.

  3. Choose the company name.

    • The minimum share capital for a DMCC Free Zone company is AED 50,000 per company and AED 10,000 per shareholder
    • The share capital needs to be deposited in the company’s local bank account within three weeks from the issue date of the company’s license. It can be withdrawn anytime thereafter
    • Branches of companies do not have a share capital requirement

  4. Submit application with required paperwork

      For Individual Shareholder

    1. Application forms duly signed by the authorized signatory.
    2. Shareholder’s Personal Details.
    3. Proof of Address (utility bill or Telephone Bill).
    4. Power of attorney (if any) duly authorising to operate company.
    5. Passport copy with six months validity of six months.
    6. Specimen Signature, Passport copy & Power of Attorney of Manager, Director & Secretary.
    7. Original Bank Share Capital Letter is required.
    8. Business Plan.

      For Corporate Shareholder

    1. Applications forms duly signed by the authorized signatory of Corporate entity.
    2. Certificate of Registration (or) Certificate of Incorporation of Corporate entity.
    3. Memorandum & Articles of Association of the Parent Company. (Attested by relevant authority in Home country)
    4. Board Resolution passed in Board meeting for set up of Branch or subsidiary company in DMCC.
    5. Specimen Signature, Passport copy & Power of Attorney for Manager, Director & Secretary.
    6. Letter from the parent company for the appointment of a Manager.
    7. Business Plan

    Documents Required to Establish a Branch in DMCC Free Zone

    1. Application forms duly signed by the authorized signatory.
    2. Certificate of Registration (or) Certificate of Incorporation of Corporate entity.
    3. Memorandum & Articles of Association of the Parent Company. (Attested by relevant authority in Home country)
    4. Specimen Signature, Passport copy & Power of Attorney for Manager, Director & Secretary.
    5. Board Resolution calling for the establishment a branch in DMCC and guarantee full financial commitment.
    6. Letter from the parent company for the appointment of Manager.
    7. Business Plan

DMCC Business Setup Timeline:

It takes around 1.5 – 2 months to complete the registration of a company in DMCC after receiving the required documents and the fees. The residency visa process will take additional 2 weeks.
